Wholesale Terms & Conditions

These Terms & Conditions (‘Terms’) govern all wholesale orders placed with Coco Beau London (‘we’, ‘us’, ‘our’) by a stockist or retailer (‘you’, ‘the Buyer’). By placing an order, you confirm that you accept these Terms in full, including any updated version in force at the time your order is placed.

1. Minimum Order Requirements

Minimum Order Quantity (MOQ): Minimum opening order of 4 items per style for garments. MOQ for bags/ cushions, 2 per style

Reorders: Reorders on existing styles may be placed in smaller quantities, at our discretion, provided the original opening order MOQ has been met.

Introductory Offer: A 10% discount will be applied to your first order over £500

Size Runs: Flexible size selection across the standard range.

All items are produced subject to meeting minimum seasonal production thresholds.  In the rare event a specific item does not reach production minimums, stockists will be offered an alternative style or a full refund/credit for that item.

2. Pricing & Markup

Wholesale Price (WS): All prices listed are wholesale, in GBP (£), exclusive of VAT, shipping, and customs duties.

Recommended Retail Price (RRP): Stockists must adhere to the RRP listed in the line sheet.

Discounting: Permanent discounting below RRP is prohibited without written authorisation from Coco Beau London.

Invoicing: A VAT invoice will be issued with each order. Please ensure your billing details are confirmed in writing prior to production.

3. Payment Terms

Deposit: A 50% non-refundable deposit is required to secure and initiate production.

Balance: The remaining 50% balance is due immediately upon production completion, prior to dispatch.

Methods: Payment must be made via bank telegraphic transfer (BACS/CHAPS), in GBP. Credit terms are not available for new accounts.

Late Payment: Goods will not be dispatched until the balance is received in full. We reserve the right to charge interest on overdue balances at 4% above the Bank of England base rate, accruing daily from the due date.

4. Delivery & Shipping

Delivery Timeline: The delivery window will be confirmed in writing on your order confirmation and is estimated in good faith. It is not a guaranteed date.

Shipping Terms: All shipments are sent Delivered at Place (DAP) unless otherwise agreed in writing. Risk in the goods passes to the Buyer on dispatch.

Costs & Duties: The Buyer is responsible for all shipping fees, insurance, import duties, and local taxes.

Force Majeure: We will not be liable for any delay or failure to deliver caused by circumstances beyond our reasonable control, including but not limited to supplier delays, customs hold-ups, carrier disruption, strikes, or extreme weather. Where such a delay exceeds 30 days, the Buyer may cancel the affected order and will be entitled to a refund of any amount paid beyond the non-refundable deposit.

 

5. Claims, Returns & Cancellations

Order Cancellations: No cancellations or modifications are accepted after the 50% deposit has been processed, except as set out in Section 4 (Force Majeure).

Damages & Discrepancies: Stock must be inspected upon delivery. Any claims for shortages or damaged goods must be submitted in writing with photographic evidence within 5 business days of receipt. Claims made outside this window cannot be accepted.

Returns: Approved returns for defective items will be replaced or issued as a credit note; return shipping for approved claims will be covered by Coco Beau London. No cash refunds.

6. Intellectual Property & Exclusivity

Imagery: Retailers may use official campaign and product imagery for e-commerce and marketing, provided Coco Beau London and Scott Henshall are tagged or credited.

Designs & Ownership: All designs, patterns, tech packs, and branding remain the sole property of Coco Beau London. No reproduction, replication, or third-party sharing of designs or tech packs is permitted without prior written consent.

Territory Exclusivity: Retail exclusivity is not guaranteed unless explicitly negotiated and signed in a separate geographical agreement.

7. Confidentiality

Any unreleased designs, line sheets, pricing, or collection information shared with you ahead of public release is confidential and must not be disclosed to third parties without our prior written consent.

8. Liability

Our total liability to you in connection with any order shall not exceed the total value of that order. We are not liable for any indirect or consequential loss, including loss of profit or business, save where such liability cannot be excluded by law.

9. General

Amendments: We may update these Terms from time to time. The version in force at the date your order is placed will apply to that order.

Governing Law: These Terms are governed by the laws of England and Wales, and the parties submit to the exclusive jurisdiction of the courts of England and Wales.
